Mission & Goals

Minerva Analytics Ltd is a UK-based provider of global shareholder voting research and vote management services. We provide independent, objective stewardship support to institutional investors, enabling them to exercise ownership rights responsibly, transparently and in line with fiduciary duties. Minerva supports informed shareholder decision making without prescribing outcomes, recognising that effective stewardship should reflect each investor’s own policies, objectives and investment beliefs. Minerva’s goal is to strengthen the quality, credibility and accountability of stewardship through research, data and vote management infrastructure that can be clearly explained, defended and audited. This includes objective analysis across governance, remuneration and sustainability issues, supported by traceable data and robust quality controls. Minerva helps investors with global voting and stewardship with clear reporting.

EU Legislative Interests

Minerva Analytics’ core activities centre on proxy voting, stewardship policy development, and corporate governance research. These activities operate within, and closely align to, EU legislation governing shareholder rights, institutional investor responsibilities, and disclosure obligations. The EU legislative frameworks most directly connected to Minerva’s work include: •The Shareholder Rights Directive (SRD II), which establishes requirements for investor stewardship, shareholder engagement, and voting transparency. •EU level rules relating to institutional investor disclosure and stewardship reporting. In support of these activities, Minerva is a signatory to recognised industry Best Practice Principles for Shareholder Voting Research (https://bppgrp.info) align with EU requirements arising from SRD related governance expectations, reinforcing its focus on shareholder rights and stewardship policy. At a broader level, Minerva Analytics' EU public policy engagement is primarily directed towards shareholder stewardship, corporate governance, and ESG related disclosure frameworks.
